Description
This seminar explores the basic framework of corporate governance from a theorical and practical perspective. The focus will be set on the different participants in the corporate ecosystem such as the board of directors, management, shareholders and stakeholders. We will also explore the rise of private markets, venture capital and some of the latest corporate governance trends in Silicon Valley. The class will read and discuss ongoing corporate governance debates among scholars and practitioners. The seminar will feature outside experts who will complement the discussions with real-world examples drawn from practice.
Invited speakers will include leading founders, board members, executives, investors (from private equity, venture capital, mutual/pension funds), proxy advisors, legal practitioners, regulators and other important practitioners from the corporate ecosystem.
