Description
More than one-third of all retail sales occur at franchised businesses. Taking into consideration quick service restaurants, gas stations, hotels, and the wide range of other franchises, nearly everyone is a regular customer of at least some franchised businesses. Franchising is a large part of American and international economies. This course surveys various areas of law that apply to business franchises. The course will survey many of the diverse fields of law which come into play for franchise businesses including the law of agency, antitrust, contract, franchise regulations, intellectual property especially the Lanham Act, and transactional and litigation and alternate dispute resolution. Students will gain proficiency in reviewing and understanding complex commercial contracts generally and franchise agreements specifically. The franchise agreement terms are used in most complex commercial contracts which all lawyers will face at one time in their lives if not careers.
