This course is designed to provide an opportunity to study in-depth and learn practical skills relating to corporate law, compliance and risk management functions of corporate governance, principally as part of the in-house legal department. Sarbanes Oxley and Dodd Frank regulations will be emphasized. The course will also address how corporations structure themselves internally to respond to these regulatory requirements. Current developments will be stressed; the emphasis will be on practical real-world applications of these concepts. There is no standard casebook; instead, class materials will be provided electronically.
